1. Definitions

  • Anti-Bribery Laws: The applicable anti-bribery laws in the country in which the IMEX Group In-Person Event is held, or where it is an IMEX Group Digital Event, the laws of England and Wales
  • Applicable Laws: All applicable laws, statutes, regulations from time to time in force and as applicable in the country in which the IMEX Group In-Person Event is held, or where it is an IMEX Group Digital Event, the laws of England and Wales
  • Attendee: An attendee at an IMEX Group In-Person Event, including a hosted buyer, or an IMEX Group Digital Event
  • Booth: Has the same meaning as a Stand
  • COVID-19: Coronavirus disease (COVID-19), Severe Acute Respiratory Syndrome Coronavirus 2 (SARS-CoV-2); or any mutation or variation of SARS-CoV-2
  • Discriminatory Behavior: Any act of discrimination including but not limited to verbal comments that indicate superiority related to gender, gender identity or expression, sexual orientation, disability, physical appearance, body size, race, age or religion, deliberate intimidation, sustained disruption of talks or other events, unsolicited physical contact, advocating for, or encouraging any of the above behavior
  • Exhibitor: Any business, company, organization, partnership, firm or individual to whom a Booth/Stand has been allocated for the purpose of exhibiting at the IMEX Group In-Person Event, including all staff and representatives of such Exhibitor
  • IMEX:  Regent Exhibitions Limited where you are an Exhibitor, Participant or Attendee at the IMEX Frankfurt exhibition or where you are an Attendee or Participant at an IMEX Group Digital Event. IMEX America Limited where you are an Exhibitor, Participant or Attendee at the IMEX America exhibition
  • IMEX Group: Regent Exhibitions Limited and IMEX America Limited
  • IMEX Group Digital Event: An event hosted by IMEX, attended by Participants and Attendees virtually through digital means
  • IMEX Group Events: IMEX Group In-Person Events and IMEX Group Digital Events
  • IMEX Group In-Person Event: The IMEX Frankfurt exhibition or the IMEX America exhibition, in relation to which you are an Exhibitor, Participant or Attendee
  • Participant: Any business, company, organization, partnership or firm accepted for participation in an IMEX Group Event
  • Stand: A specific floor area of the Venue contracted to an Exhibitor at an IMEX Group In-Person Event
  • Venue: The building in which the IMEX Group In-Person Event takes place
  • Venue Owner: The owner of the Venue where the IMEX Group In-Person Event takes place
  • You: An Exhibitor, Participant or Attendee

2. Who we are

  • 2.1  Regent Exhibitions Limited, a company registered in England and Wales with company number 04244044, with its registered office at 113-118 Davigdor Road, Hove, England, BN3 1RE, owns and runs the IMEX Frankfurt exhibition and produces IMEX Group Digital Events.
  • 2.2  IMEX America Limited, a company registered in England and Wales with company number 07339316, having its registered office at 113-118 Davigdor Road, Hove, England, BN3 1RE, owns and runs the IMEX America exhibition.

3. Terms

  • 3.1 These Terms and Conditions (“Terms”) apply to you during and in relation to your attendance at IMEX Group Events.
  • 3.2 You must:
  • 3.2.1 be over the age of 18 to attend the IMEX Frankfurt exhibition
  • 3.2.2 be over the age of 21 to attend the IMEX America exhibition. Exceptions may be granted by IMEX Group in certain circumstances for invited attendees, provided they are accompanied at all times by someone over the age of 21
  • 3.2.3 comply with all health, safety and security advice provided by IMEX Group and/or the Venue Owner, including guidance or procedures relating to public risks, health and safety, and COVID-19
  • 3.2.4 comply with any terms and conditions provided by the Venue Owner
  • 3.2.5 comply with any reasonable instructions provided by IMEX Group during an IMEX Group Event; and
  • 3.2.6  comply with all Applicable Laws, including Anti-Bribery Laws.
  • 3.3 While at an IMEX Group Event, you must not:
  • 3.3.1 be intoxicated or under the influence of drugs
  • 3.3.2 smoke except in designated smoking areas
  • 3.3.3 take part in canvassing, leafleting, demonstrations or fundraising not pre-approved by IMEX
  • 3.3.4 be rude, threating, aggressive, harassing or violent toward any person
  • 3.3.5 cause injury or damage to any person or property
  • 3.3.6 engage in objectionable behavior or any activity that may disrupt the IMEX Group Event, Exhibitors or Participants
  • 3.3.7 act in a manner that damages or could damage the reputation of IMEX Group
  • 3.3.8 undertake unauthorized use of photography, filming or recording; or
  • 3.3.9 infringe the intellectual property rights of IMEX Group, an Attendee, Participant or Exhibitor
  • 3.4 Animals or pets are not permitted at IMEX Group In-Person Event unless required for medical purposes.
  • 3.5 IMEX Group is committed to creating a positive experience for everyone and celebrates the diversity of all Attendees, Participants, Exhibitors, IMEX staff and Venue Owner staff. Discriminatory behavior is not tolerated in any form, whether in person or through digital channels. You agree to treat everyone with respect and kindness regardless of gender, race, religion, age, sexual orientation, disability or background.
  • 3.6  If IMEX Group (in its sole discretion), deems that you have failed or are likely to fail to comply with clauses 3.2 to 3.5, IMEX Group reserves the right to stop any activity that interferes with or causes annoyance to others. Exhibitors and sponsors reserve the right to refuse participation in any events they organize, including but not limited to events taking place on their exhibition booth (whether in-person or digital), events taking place at another venue, or digital events. IMEX Group is not liable to the Attendee for any loss suffered as a result, including the right to a refund, as well as any liability in respect of activities undertaken by other third parties (including Participants, Exhibitors or Attendees) at an IMEX Group Event.

4. Warranties

  • 4.1 IMEX Group makes no guarantee as to the suitability or appropriateness of an IMEX Group Event for you.
  • 4.2 All content and information at an IMEX Group Event is provided on an “as is” basis and IMEX Group makes no guarantee as to the accuracy of any content or information provided at an IMEX Group Event, whether from IMEX Group, a Participant or otherwise.

5. Liability

  • 5.1 Nothing in these Terms limits any liability which cannot legally be limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
  • 5.2 Subject to clause 5.1, IMEX Group shall not be liable for any of the following losses suffered while attending or arising out of attendance at an IMEX Group Event:
  • 5.2.1 loss of profit, goodwill, business, loss of agreements or corruption of data
  • 5.2.2 any consequential, indirect or special losses however arising
  • 5.2.3 any remote losses that could not reasonably have been foreseen by the parties
  • 5.2.4 any proportion of loss caused or contributed to by any person other than IMEX Group
  • 5.2.5 any proportion of loss that could reasonably have been mitigated but was not, or
  • 5.2.6 any combination of the above.
  • 5.3 Subject to clauses 5.1 and 5.2 above, IMEX’s total liability to you under these Terms and in relation to the IMEX Group Event:
  • 5.3.1 for loss arising from IMEX’s failure to comply with its data processing obligations, shall not exceed £10,000, and
  • 5.3.2 for all other loss or damage shall not exceed £5,000
  • 5.4 Subject to clause 5.3.1, IMEX Group accepts no responsibility for loss resulting from damage or theft of personal property while attending an IMEX Group Event. All personal property you bring to an IMEX Group Event is at your own risk.
  • 5.5 Subject to clause 5.1 above, IMEX Group assumes no liability for any loss incurred as a result of the Venue, where such liability would fall on the Venue Owner.  
  • 5.6 Notwithstanding precautions taken by IMEX Group, Venue Owners or third parties, IMEX Group shall not be liable for issues relating to public health matters including COVID-19. Participants, Exhibitors and Attendees waive any related claims.  Attendance is entirely at your own risk and you must:
  • 5.6.1 make your own assessment regarding attendance and travel
  • 5.6.2 take all precautions recommended by health and safety authorities including travel restrictions or quarantine requirements
  • 5.6.3 comply with any specific precautions or guidelines notified by a Venue Owner and/or IMEX Group
  • 5.7 IMEX Group is not responsible for acts or omission of Attendees, Participants or Exhibitors nor for any contracts or agreements entered into between such parties.
  • 5.8 Any opinions or views expressed by any speaker, Exhibitor, Participant or Attendee do not necessarily reflect those of IMEX and IMEX does not endorse them unless expressly stated.

6. Force Majeure

  • 6.1 IMEX Group shall not be responsible or liable for any delay or failure to perform its obligations (including the holding or hosting of any IMEX Group Event) if such delay or failure is caused by (i) storm, flood, fire, earthquake or other acts of God; (ii) war, invasion, hostilities, terrorist threats or acts, riot or other civil unrest or violence; (iii) any disease, epidemic or pandemic, including COVID-19 (together with any mutation, adaptation or variation thereof), (iv) embargoes or blockades; (v) national or regional emergency; (vi) strikes, labor stoppages, or slowdowns or other industrial disturbances; (vii) any order or guidance from any governmental or quasi-governmental organization, including without limitation in regard to travel, public gatherings, or health and safety; (viii) disruptions in supply chains, hotel inventory, commercial air travel or other public transportation; (ix) failure of carriers or utilities or equipment beyond IMEX Group’s reasonable control; (x) unavailability of the Venue through no fault of IMEX Group; or (xi) other similar causes beyond the reasonable control of IMEX Group.
  • 6.2 In any such event, IMEX Group shall be entitled but not obliged to either provide alternative facilities or Venue for the Event and/or reschedule the Event, without liability on the part of the IMEX Group. If IMEX Group are unable to reschedule or rearrange the event, IMEX Group may cancel the IMEX Group Event.

7. Data Protection

  • 7.1 IMEX processes your personal data in accordance with its Privacy Policy which can be viewed here.
  • 7.2 Badges provided at IMEX Group In-Person Events will provide personal data about you including information you have provided at registration. IMEX Group and the Venue Owner may need to scan and process this information for administration and security purposes. Where IMEX Group collects such personal data, it does so in accordance with its Privacy Policy. Further information can be found in the Electronic Badges and Lead Scanning section of our Privacy Policy here. Where the Venue Owner collects such personal data, it does so in accordance with its privacy terms. Should you wish to review such terms you should contact the Venue Owner.
  • 7.3 During the IMEX Group In-Person Event, Exhibitors, Attendees and/or Participants may ask to scan your badge. It is at your discretion whether you permit such scanning. IMEX Group has no control over third-party use of the personal data collected by a third party when scanning your badge in accordance with their own privacy terms. Should you wish to review such terms you should contact the Exhibitor, Attendee or Participant.
  • 7.4 IMEX Group does not collect personal data through CCTV or webcams at an IMEX Group In-Person Event, but the Venue Owner and/or Exhibitors may do so. If you have any questions in relation to this, contact these third parties.

8. Photographs and Image Use

  • 8.1 IMEX Group may take photographs, audio, recordings and video footage (“Material”) at IMEX Group Events and use them to promote future events, in direct mail and email marketing, newsletters, educational materials, social media, press releases and broadcasts over the internet, through our broadcast partners, or via other broadcast services (“Permitted Use”).
  • 8.2 For Material where inclusion of your image or personal data is incidental and you cannot be identified, IMEX Group do not consider it to be feasible or necessary to obtain your express permission.
  • 8.3 You acknowledge and agree that by attending an IMEX Group Event, Material may be created for which your image is in the forefront of the Material and you can be identified, but you are not the intended subject matter. If you do not want to be included in such Material, please notify IMEX Group prior to your arrival at the IMEX Group Event. If you do not notify IMEX Group, your attendance at the IMEX Group Event is deemed consent to us or our third parties creating the Material and using it for the Permitted Use.
  • 8.4 Where IMEX Group ask you to be photographed, interviewed or filmed and you agree to do so, your acceptance to be photographed, interviewed or filmed will be deemed consent for our use of the Material for the Permitted Use.
  • 8.5 Where consent is provided or deemed in accordance with clauses 8.3 and 8.4 above, you do not object to IMEX Group:
  • 8.5.1 storing copies of the Materials for as long as necessary to fulfil the Permitted Use, and
  • 8.5.2 sharing the Material with IMEX Group and/or third parties IMEX Group appoints in connection with achieving the Permitted Use.
  • 8.6 You have the right to withdraw the consent you have provided but this will not affect the lawfulness of any processing carried out by IMEX Group before you withdrew your consent. For the purposes of data protection laws, IMEX Group is the controller and responsible for the personal data comprising the Materials.
  • 8.7 By attending an IMEX Group Event, you hereby agree to IMEX Group collecting and using your name, photograph and biography in connection with the Permitted Use. You can request to have your image removed if you wish.
  • 8.8 You agree that IMEX Group is the owner of all Material and that in relation to your image, you hereby waive any rights attached to the use of such image by IMEX including the waiver of any moral rights or image rights, and agree that IMEX shall be entitled to edit, crop, splice, treat and edit (at IMEX Group’s discretion) without the need to inspect or review the Material.
  • 8.9 In certain circumstances Participants, Exhibitors and other Attendees may take photographs or conduct filming. In such circumstances IMEX Group do not have control over what images they collect and their use of the images. If you have any questions in relation to this you should discuss this with the relevant third party.

9. Intellectual Property Rights

  • 9.1 IMEX Group is the owner or the licensee of all intellectual property rights in the content it provides or displays at IMEX Group Events. Participants and/or Exhibitors are the owners or licensees of all intellectual property rights in the content they provide or display at IMEX Group Events. Such works are protected by copyright laws and treaties around the world, and all such rights are reserved.
  • 9.2 You acknowledge the intellectual property ownership rights set out in clause 9.1 and agree that, unless IMEX Group or the applicable Participant or Exhibitor expressly grant you permission to use such intellectual property rights, you may not infringe such rights.
  • 9.3 You hereby confirm you are the owner or licensee of all intellectual property rights in any content you provide or display at an IMEX Group Event.
  • 9.4 You agree to indemnify IMEX Group against all losses it may suffer as a result of your failure to comply with clauses 9.1 to 9.3.

10. Event Amendments and Disclaimer 

  • 10.1 IMEX Group reserve the right to make changes to the agenda, format, speakers, location and any other aspect of the event without notice and without liability to Attendees.
  • 10.2 IMEX Group may at any time, with or without giving notice, at its absolute discretion and without giving any reason, change, cancel or postpone an event, change its Venue or any of the other published particulars, or withdraw any invitation to attend.
  • 10.3 In any case, IMEX Group shall not be liable for any loss, liability, damage or expense suffered or incurred by any person, nor will they return any money paid to them in connection with the event unless they are satisfied not only that the money in question remains under their control, but also that the person who paid it has been unfairly prejudiced, about which the decision shall be in their sole and unfettered discretion and, when announced, final and conclusive.

11. General

  • 11.1 These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them are governed by the laws of England and Wales.
  • 11.2 Each party irrevocably agrees that the courts of England and Wales have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms.
  • 11.3 If any provision or part-provision of these Terms are or become invalid, illegal or unenforceable, they shall be deemed deleted, but that does not affect the validity and enforceability of the rest of the Terms.
  • 11.4  A waiver of any right or remedy under these Terms or by law is only effective if given in writing and shall not be deemed a waiver of any subsequent right or remedy.

12. Updates

12.1  IMEX Group reserves the right to update these Terms at its discretion. These Terms were last updated on January 4, 2024.

13. Email disclaimer notice

  • 13.1  IMEX Group emails (and any attachments) are confidential, and may be legally privileged, and are for the intended recipient(s) only. Access, disclosure, copying, distribution or reliance on any IMEX Group emails by anyone else is prohibited and may be a criminal offence.
  • 13.2 Please delete IMEX Group emails if obtained in error and notify the sender.
  • 13.3 Any views expressed in IMEX Group emails are those of the individual sender, not those of IMEX Group unless endorsed by a legal officer of IMEX Group.

14. IMEX Babes in Arms Policy

  • 14.1 At IMEX we encourage and promote access for all. We welcome attendees at IMEX Group Events with infants under one year of age. 
  • 14.2 Strollers are permitted on the show floor and all areas of IMEX Group Events, but must not block access to booths or walkways.
  • 14.4 Anyone under 18, including infants, are not permitted on the show floor during build up or breakdown.
